After snapping up over 90% of Azumah Resources shares, private equity firm, Ibaera Capital, will mop up the remaining 10% under the compulsory acquisition provisions in the Corporations Act. Ibaera got to just over 90% last week and told shareholders they would still receive their money for their remaining shares after the compulsory acquisition provisions kick in. It seems that the message hit home, with Ibaera making it to over 93% by Monday.

Azure Capital, Canaccord Genuity and DLA Piper were among the most active advisers on corporate finance deals in 2019.

Private equity firm, Ibaera now holds a relevant interest in Azumah Resources of 88.85% following last year's off-market takeover bid. Azhuma's sole independent director has encouraged remaining holders to accept the offer before the official closing date of the 17th January. If Ibaera acquires 90% or more of Azumah's shares, it will likely move to compulsorily attain any remaining shares and/or delist the company from the ASX.

Azumah Resources' is weighing up funding options for its share of capital costs for the Wa gold project in Africa with an estimated $75 million in potential equity financing on the cards. Azumah has also appointed Peder Olsen to oversee the development of the Wa gold project. Olsen recently lead Endeavour Mining's construction of the US$425m gold mine at Ity in Cote d'Ivoire.

Azumah Resources has told its shareholders it will need to conduct a capital raising early next year to fund its share of the Wa gold project, if suitor Ibaera Capital is not able to achieve full ownership.

Azumah Resources has released a statement confirming that all independent company directors are now unanimously recommending shareholders accept private equity firm, Ibaera Capital's, 3.3 cents a share takeover offer. Ibaera now has a relevant interest in 83% of Azumah's shares with all Azumah directors and major shareholders now accepting Ibaera's offer, sidestepping the problematic scenario of becoming a minority shareholder in an unlisted company.

The board and management of Azumah Resources has downed tools and moved on after its private equity partner, Ibaera Capital, moved to a majority 61% holding. Managing Director Steve Stone has resigned and non-executive director, Linton Putland will not seek re-election and both have recommended that shareholders accept Ibaera's increased 3.3c a share offer on their way out the door. All major shareholders have now accepted.

The board of Azumah Resources' has successfully held out for more money as Ibaera Capital's increased takeover offer of 3.3 cents a share finally gets the nod from Directors. The new offer represents a 136% premium to the company's closing price before the original offer was made in September and an 18% premium to the 2.8c per share offer made by Ibaera at that time.

Azumah Resources has estimated that its Wa gold project in Ghana could deliver a pre-tax cash flow of USD$448m using an assumed gold price of USD$1,500 per ounce, up 66% from its scoping study estimate that used a price USD$1,300 per ounce. The higher gold price could also lift pre-tax NPV by almost 75% to USD$309m and increase the internal rate of return from 35% to about 54%.

Azumah Resources has completed a high-level scoping study indicating that its Bepkong underground deposit at the Wa gold project in north-western Ghana, could produce 154,000 ounces of gold and generate a cash flow of $47m over 4.5 years. In July, the company delivered a maiden underground resource of 2.4Mt @ 3.59g/t gold for 279,700 ounces at the Bepkong deposit, doubling the previous mineral resource inventory.

The company said that the Bepkong system remains open at depth and along strike and that follow-up holes are underway to extend mineralisation in the Eastern lode.
