Zenith bid goes unconditional as Forrestania builds WA gold stockpile

Forrestania Resources has declared its takeover bid for Zenith Minerals unconditional after securing a controlling 58.99 per cent stake, clearing the way for a bigger WA gold business. The move positions Forrestania to fold Zenith’s assets into its hub-and-spoke gold strategy centred on Edna May and Lake Johnston. In a separate development, the company has also secured 400,000 tonnes of ore feed from Star Minerals' Tumblegum gold mine, near Meekatharra.

The acquisition of Zenith fits squarely into the company's playbook, adding to its portfolio of deposits and exploration projects that can feed into its development pipeline.

Forrestania’s ambitious $79 million all-scrip takeover has been anything but a quiet affair, with the company pulling off a transformational $300 million acquisition of Ramelius Resources’ Edna May gold assets just weeks after launching its Zenith bid in June. Backed by a whopping $310 million capital raising, the blockbuster deal dramatically raised the stakes, putting Forrestania on a much bigger stage in WA’s gold sector.

The rapid-fire dealmaking also attracted the attention of two investors, Harvest Lane Asset Management and Ida Metal Investments, who took their concerns to the Takeovers Panel, questioning whether Zenith shareholders had been given enough information about Forrestania’s rapidly expanding ambitions.

The matter was effectively put to bed in late September when a review panel upheld its original findings and orders, leaving Forrestania’s takeover intact but imposing additional disclosure requirements to protect minority shareholders should the company secure control without achieving full ownership.

Despite the regulatory detour, Forrestania confirmed it has now met the minimum acceptance condition and has declared the offer free from all remaining defeating conditions. The declaration came at the first available opportunity, following a one-week waiting period mandated by the Takeovers Panel, which concluded on October 22.

While the corporate machinations of a takeover may seem dry, the strategic logic behind the company's bid paints a far more compelling picture. The move is a central pillar in the company’s stated strategy to build a leading WA gold business through a classic hub-and-spoke development model.

With the deal now a goer, Forrestania will begin issuing shares to the Zenith holders who have already accepted the all-scrip offer, within the next 14 days. With the offer extended to November 12, the company remains firmly in the driver’s seat, eyeing the 90 per cent threshold generally required to pursue compulsory acquisition and complete its broader WA gold consolidation strategy.

In other notable news today, the company has added another string to its emerging gold production bow, striking a binding ore purchase deal with Star Minerals that could see up to 400,000 tonnes of gold-bearing rock trucked into its soon-to-be-in-production Edna May processing plant in Western Australia over the next two years.

The agreement covers ore from Star’s Tumblegum gold project in the Eastern Goldfields, with the first trucks scheduled to roll tomorrow. Effective immediately, the deal gives Forrestania exclusive rights to purchase Tumblegum ore meeting an agreed minimum grade threshold during the initial 24-month term, potentially adding another valuable feed source to its growing gold processing ambitions.

The commercial arrangement ties the purchase price to ore grade, metallurgical recoveries and prevailing gold prices, giving Forrestania a crack at capturing upside from a buoyant bullion market. Importantly, the deal offers another potential source of mill feed for its hungry processing plants without the company having to develop a new mine of its own.

It also slots neatly into Forrestania’s broader hub-and-spoke strategy, built around its Edna May and Lake Johnston processing hubs and a growing collection of gold deposits, including Tycho and Johnson Range. With the first Tumblegum trucks preparing to hit the road, the company has added another piece to its production puzzle as it pushes towards establishing a sustainable WA gold business.

With the Zenith takeover now effectively locked in and a fresh source of ore in the bag, Forrestania looks to have taken further significant steps in executing its regional consolidation strategy. The focus will now likely shift to integrating the new assets and advancing its broader plan to become a significant player in the WA gold scene.
